Account and billing data is retained for the duration of the client relationship plus seven (7) years thereafter for audit, tax, and legal purposes. Operational data uploaded to Scale Vault is retained per the retention schedule selected by the client and is permanently deleted within 30 days of a verified deletion request or contract termination, except where retention is legally mandated (e.g., certain medical, financial, or legal record types).

How Scale Med AI handles Protected Health Information (PHI) under the Health Insurance Portability and Accountability Act for our medical spa and clinical operators.
This notice applies specifically to clients deploying Scale Med AI, our command center for medical spa and clinical operations, where Protected Health Information (PHI) as defined under HIPAA (45 CFR §160.103) is processed, stored, or transmitted on behalf of a Covered Entity.
Scale Acquisition Inc. operates as a Business Associate under HIPAA with respect to all Scale Med AI deployments. We enter into a fully executed Business Associate Agreement (BAA) with every Covered Entity client prior to any PHI being processed within the platform. No PHI is processed for a client without a signed BAA on file.
If your organization requires a BAA to begin or continue using Scale Med AI, contact compliance@scaleacquisition.ai, our standard BAA template is available for review within one business day of request.

In the event of a suspected breach involving unsecured PHI, Scale Acquisition will notify the affected Covered Entity without unreasonable delay and in no case later than 60 days following discovery, in accordance with the HITECH Breach Notification Rule (45 CFR §164.410). Notification will include the nature of the breach, PHI involved, and mitigation steps taken.
Scale Med AI supports Covered Entities in fulfilling patient rights under HIPAA, including the right to access, amend, and receive an accounting of disclosures of their PHI. Patients should direct such requests to their treating Covered Entity (the medical spa or clinical practice), which Scale supports as the underlying Business Associate.
Any PHI used to power aggregate Command Center benchmarking is first de-identified in accordance with the HIPAA Safe Harbor method (45 CFR §164.514(b)(2)), removing all 18 identifiers prior to any cross-client aggregation. No individually identifiable PHI is ever used in peer benchmarking outputs.

How Scale Acquisition complies with the General Data Protection Regulation (GDPR) and UK GDPR for clients and data subjects within the European Economic Area and United Kingdom.
This policy applies to all personal data of individuals located in the European Economic Area (EEA), United Kingdom, and Switzerland that is processed through any Scale Acquisition platform, regardless of where the client entity itself is headquartered, in accordance with the GDPR's extraterritorial scope (Article 3).

All EU/UK enterprise clients are provided a Data Processing Agreement (DPA) incorporating the SCCs, sub-processor disclosure, and audit rights under Article 28(3), executed prior to onboarding alongside the master services agreement.
In line with Article 5(1)(c) and (e), Scale collects only data necessary for the specified purpose and retains personal data no longer than necessary, per the retention schedules outlined in our Privacy Policy.
In the event of a personal data breach likely to result in risk to data subjects' rights and freedoms, Scale Acquisition will notify the relevant supervisory authority and affected clients within 72 hours of becoming aware, in accordance with Articles 33 and 34.
EU and UK data subjects have the right to lodge a complaint with their local supervisory authority, for example, the Irish Data Protection Commission, the UK Information Commissioner's Office (ICO), or their applicable national authority, if they believe their data protection rights have been violated.

By accessing or using any Scale Acquisition Inc. platform, vertical command center, or service (collectively, the "Services"), the contracting entity ("Client," "you") agrees to be bound by these Terms & Conditions and any executed Master Service Agreement (MSA), which together constitute the entire agreement between Client and Scale Acquisition Inc. ("Scale," "we," "us").
The Services are offered exclusively to qualified business entities meeting Scale's underwriting criteria, generally established mid-market B2B corporations within the $2M to $20M+ ARR band operating in a high-ticket agency, commercial service, or enterprise SaaS capacity. Scale reserves sole discretion to accept or decline any prospective client engagement.
Scale provides proprietary closed-loop revenue infrastructure, vertical command center platforms (Scale Law AI, Scale Med AI, Scale Property AI, Scale Fintech AI, Scale Accounting AI, Scale Logistic AI, Scale Executive AI), and supporting tools (Scale Assistant, Scale Vault, Scale Knowledge, Scale Academy, Contract Intelligence, Command Center, Ecosystem integrations, and Scale Mobile upon release) as further described on this website and in the applicable MSA or Statement of Work.
Client engagements consist of two fee components:
Fees are exclusive of applicable taxes. Late payments may result in service suspension following ten (10) business days' written notice.
All underlying software, architecture, multi-agent routing logic, and proprietary methodology developed or deployed by Scale (the "Scale IP") remains the exclusive property of Scale Acquisition Inc. Client is granted a non-exclusive, non-transferable license to use the Scale IP solely for its own internal business operations for the duration of the engagement. No ownership in the Scale IP transfers to Client at any time.
Client retains full ownership of all data it uploads, generates, or processes through the Services ("Client Data"). Scale's access to Client Data is strictly limited to what is necessary to deliver the Services, as governed by our Privacy Policy and any applicable Data Processing Agreement.
Client agrees not to: (a) reverse-engineer, decompile, or attempt to extract Scale's proprietary source code or routing logic; (b) use the Services to process data it is not legally authorized to process; (c) resell, sublicense, or provide third-party access to the Services without written consent; or (d) use the Services in a manner that violates applicable law, including HIPAA, GDPR, or sector-specific regulatory regimes.
The Services are provided "as is" and "as available." Except as expressly stated in an executed MSA, Scale disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Scale does not warrant that the Services will be uninterrupted or error-free.
To the maximum extent permitted by law, Scale's aggregate liability arising out of or related to the Services shall not exceed the total fees paid by Client in the twelve (12) months preceding the claim. Scale shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or business opportunity.
Client agrees to indemnify and hold Scale harmless from any claims, damages, or expenses arising from Client's breach of these Terms, misuse of the Services, or violation of applicable law in connection with Client Data.
Engagements continue for the minimum term specified in the applicable MSA and renew automatically thereafter unless either party provides thirty (30) days' written notice of non-renewal. Scale may suspend or terminate access immediately for material breach, non-payment, or unlawful use. Upon termination, Client Data will be made available for export for thirty (30) days before permanent deletion, except where legally mandated retention applies.
These Terms are governed by the laws of the jurisdiction specified in the executed MSA, without regard to conflict-of-law principles. Disputes shall be resolved through binding arbitration or the courts designated in the MSA, as applicable.
Scale may update these Terms from time to time. Material changes affecting active clients will be communicated at least 30 days in advance. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
Legal & Compliance
How setup fees and monthly usage fees are treated with respect to cancellations, downgrades, and refund requests.
Scale Acquisition's pricing consists of two distinct components, each governed by a different refund treatment:

Plain-language summary: we charge a one-time fee to build your system. We charge a separate monthly fee for keeping it running. If a given month has already been used, meaning the platform was live and accessible to your team during that billing period, that month's fee is not refunded, regardless of how much or how little the platform was actually used during that period.
The one-time setup fee compensates Scale for the architecture, engineering, and native deployment work required to build a client's closed-loop infrastructure. Because this work begins immediately upon signed engagement and involves dedicated engineering resources, the setup fee is fully earned and non-refundable once architecture work has commenced, which is deemed to occur upon initial system design or environment provisioning, whichever occurs first.
If Client cancels prior to any architecture work commencing (i.e., within the first 48 hours of signing and before any provisioning has begun), Scale will refund the setup fee in full, less any documented third-party costs already incurred.
Monthly usage fees are billed in advance and cover platform access for that billing cycle. Any month that has already been used, meaning the billing period has begun and the platform was made accessible, is non-refundable, irrespective of the client's actual usage volume, login frequency, or feature engagement during that period. This reflects the fixed infrastructure, hosting, and support costs Scale incurs in keeping a client's environment live and available, regardless of usage intensity.
If Client cancels mid-cycle, access continues through the end of the current paid billing period, and no prorated refund is issued for the unused remainder of that month. The cancellation simply prevents the next billing cycle from initiating.
Client may cancel recurring monthly billing at any time by submitting a written cancellation request to billing@scaleacquisition.ai or through an Account Manager. Cancellation takes effect at the end of the current billing cycle. No further monthly charges will be applied following a confirmed cancellation.
Refund exceptions may be considered, at Scale's sole discretion, in cases of:
Dissatisfaction with the platform, change in business needs, or non-usage of the Services during an active billing period do not, on their own, qualify for a refund of fees already incurred.
Any billing dispute must be raised in writing within thirty (30) days of the relevant invoice date. Disputes raised after this window may not be eligible for adjustment. Scale will investigate and respond to all timely disputes within ten (10) business days.
To request a refund review, contact billing@scaleacquisition.ai with your account name, invoice number, and the basis for your request. All refund decisions are communicated in writing within five (5) business days of review.

Every Scale client operates inside a single-tenant, containerized environment. No client shares compute, storage, or database infrastructure with another client. This applies uniformly across all seven SBU verticals and all platform tools.
Access to client environments is governed by role-based access control (RBAC) on a least-privilege basis. Multi-factor authentication is required for all internal personnel with production access. Client-side user permissions are configurable per seat within each command center.
All access to, modification of, or export of client data is recorded in immutable, cryptographically signed audit logs, retained for a minimum of one year and available to enterprise clients upon request for their own compliance reviews.

Scale maintains a documented incident response plan, tested at least annually, covering detection, containment, eradication, and client notification.
